Terms & Conditions

These Terms and Conditions govern your engagement with Damai Niaga and the consulting services we provide. By contacting us, submitting an enquiry, or entering into a service agreement, you confirm that you have read and accepted these terms. If any part of these terms is unclear, please reach out before proceeding — we are happy to explain.

1. Definitions

  • "Agreement" — these Terms and Conditions together with any service proposal or letter of engagement accepted by both parties.
  • "Service" — the financial advisory and business consulting services offered by Damai Niaga, including Light on the Numbers, Healthy Books Review, and Steady Light Partnership.
  • "We / Us / Our" — Damai Niaga, a business consulting firm registered and operating in Seremban, Negeri Sembilan, Malaysia.
  • "User / Client / You" — any individual or business entity that engages or enquires about our services.
  • "Content" — reports, summaries, recommendations, and written materials produced by us during the engagement.
  • "Session" — a scheduled advisory or review meeting, conducted in person or remotely, as agreed.

2. Acceptance of Terms

By submitting an enquiry through our website, signing a service proposal, or making payment for any service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement in Malaysia. If you are acting on behalf of a business, you confirm that you have the authority to bind that business to these terms.

If you do not agree with any part of these terms, we respectfully ask that you refrain from engaging our services and contact us with any questions you may have.

3. Service Description

Damai Niaga provides small business financial advisory and consulting services to business owners primarily in Malaysia. Our services are designed to help owners understand their finances more clearly and make more confident decisions — not to replace qualified legal, audit, or tax advice.

Our three service tiers are:

  • Light on the Numbers — a single engagement to review and explain your financial records (RM 710).
  • Healthy Books Review — a five-week engagement covering costs, pricing, and cash flow (RM 1,900).
  • Steady Light Partnership — a six-month advisory relationship with monthly sessions and quarterly reviews (RM 3,420).

Service availability is subject to our capacity at the time of enquiry. We reserve the right to decline engagements where we do not believe we can serve you well.

4. User Responsibilities

To allow us to work effectively on your behalf, you agree to:

  • Provide accurate, complete, and timely financial information and business records when requested.
  • Notify us promptly of any material changes to your business circumstances during the engagement.
  • Attend or reschedule sessions with reasonable notice (at least 48 hours where possible).
  • Keep our reports, recommendations, and session content confidential and not share them with third parties for commercial purposes.
  • Refrain from using our services for any unlawful, deceptive, or fraudulent purpose.
  • Comply with all applicable Malaysian laws and regulations relevant to your business.

We understand that small businesses are busy. Where possible, we will accommodate flexibility — but consistent non-participation may affect our ability to deliver useful outcomes within the agreed timeframe.

5. Intellectual Property

All reports, templates, frameworks, methodologies, and written materials produced by Damai Niaga remain our intellectual property unless otherwise agreed in writing. Upon full payment, you are granted a non-exclusive, non-transferable licence to use the deliverables produced during your engagement for your own internal business purposes.

You may not reproduce, resell, redistribute, or publish our materials — including financial summaries and written recommendations — without our prior written consent.

Any business information, financial data, or records you share with us remain your property. We will not share or use your information beyond the scope of your engagement without your consent.

6. Payment Terms

All fees are quoted and payable in Malaysian Ringgit (RM). Payment terms will be set out in your service proposal. Generally:

  • A deposit may be required before work begins, as specified in your proposal.
  • Remaining balances are due on or before the completion of the engagement or as agreed in the proposal schedule.
  • Accepted payment methods include bank transfer and online payment where available.

Refund Policy: Once work has commenced on a service engagement, fees for work already completed are non-refundable. If you wish to withdraw before work begins, please notify us in writing and a full refund of any advance payment will be considered, subject to any administrative costs incurred. For multi-week or multi-month engagements, a pro-rated refund of unused sessions may be considered at our discretion.

Late payments may result in a pause in service delivery until the outstanding balance is settled.

7. Service-Specific Terms

The scope of each engagement is defined in the service proposal accepted by both parties. Requests for additional work outside the agreed scope may be accommodated where possible, and may attract additional fees discussed and agreed in advance.

Session scheduling is mutually agreed. Where a session must be rescheduled, we ask for at least 48 hours' notice. We will do our best to accommodate rescheduling requests within the engagement period. Sessions that are missed without notice may not be recoverable.

For the Steady Light Partnership, the six-month term commences from the date of the first session. Sessions not taken within the engagement period are forfeited unless an extension is agreed in writing.

8. Disclaimers

Our services are provided in good faith based on the information you share with us. The advice, summaries, and recommendations we offer are intended to support your decision-making — they are not a substitute for qualified legal, tax, audit, or accounting advice.

We do not make any representations about the financial outcomes of following our recommendations. Business decisions remain your own responsibility, and we encourage you to seek specialist professional advice where the matter requires it.

Our services are delivered with reasonable care and professional diligence. We cannot be responsible for outcomes arising from information that was incomplete, inaccurate, or not provided to us during the engagement.

9. Limitation of Liability

To the fullest extent permitted by Malaysian law, our total liability to you for any claim arising from or related to our services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim.

We are not liable for any indirect, consequential, or loss-of-profit claims arising from the use of our services or recommendations, including but not limited to business losses resulting from decisions made on the basis of our advice.

Nothing in these terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded under Malaysian law, including under the Consumer Protection Act 1999.

10. Indemnification

You agree to indemnify and hold Damai Niaga, its consultants, and representatives harmless from any claims, losses, damages, or costs (including reasonable legal fees) arising from your breach of these terms, your misuse of our services or deliverables, or your provision of inaccurate or misleading information during the engagement.

11. Termination

Either party may terminate an engagement by providing written notice. If you terminate mid-engagement, fees for work completed to the date of notice are payable. We will provide you with any deliverables completed to that point.

We reserve the right to end an engagement if you repeatedly fail to provide required information, miss sessions without notice, behave inappropriately toward our team, or if we determine that continuing the engagement is not in either party's interest.

Sections relating to intellectual property, confidentiality, payment, and limitation of liability survive termination of this agreement.

12. Dispute Resolution

These Terms are governed by the laws of Malaysia. Any disputes will be subject to the jurisdiction of the courts of Negeri Sembilan, Malaysia.

Before commencing any formal proceedings, we ask that both parties attempt to resolve any disagreement informally. Please contact us by email at [email protected] with a clear description of the concern. We will respond within five business days and work together to find a fair resolution.

If informal resolution is not possible within 30 days, either party may pursue mediation through the Kuala Lumpur Regional Centre for Arbitration (KLRCA) or seek appropriate legal remedy.

13. General Provisions

  • Entire Agreement: These terms, together with any signed service proposal, constitute the entire agreement between you and Damai Niaga for the services described.
  • Severability: If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force.
  • Waiver: Our failure to enforce any right under these terms does not constitute a waiver of that right.
  • Assignment: You may not transfer your rights under this agreement without our written consent. We may assign administrative functions to other team members as appropriate.
  • Notices: Formal notices should be sent by email to [email protected] or by post to our registered address.

14. Changes to These Terms

We may update these Terms and Conditions from time to time to reflect changes in our services, legal requirements, or business practices. The updated version will be published on this page with a revised effective date.

For active engagements, we will notify you of material changes by email. Continued use of our services after such notification constitutes acceptance of the revised terms.
